Legal advice is provided only when Potekyu has accepted an engagement and agreed on the scope of work through an engagement letter, service agreement, written confirmation, or other formal arrangement.

You should not rely on general website content as legal advice for any specific matter. Before making legal, commercial, tax, financial, employment, investment, immigration, regulatory, or other important decisions, you should obtain professional advice based on your specific situation.

3. No Guarantee of Outcome
Potekyu may provide legal services, advisory support, document review, or other professional services within an agreed scope.

However, unless expressly stated in a signed engagement document, Potekyu does not guarantee any legal, commercial, regulatory, tax, financial, licensing, investment, dispute, negotiation, transaction, or business outcome.
Any assessment, view, estimate, timeline, or recommendation is based on the information available at the relevant time and may change if facts, documents, law, practice, authority interpretation, or third-party actions change.

4. Eligibility and Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms.

By using the Site, you represent that:

• you have the legal capacity to use the Site and enter into these Terms;

• if you use the Site on behalf of a company, organization, or another person, you have authority to do so;

• the information you provide to Potekyu is accurate, current, complete, and not misleading; and

• your use of the Site does not violate applicable law, third-party rights, or any agreement binding on you.

Potekyu may restrict, suspend, or terminate access to the Site, member areas, booking features, or related services if we reasonably believe that your use violates these Terms, creates legal or operational risk, affects Site security, or is otherwise inappropriate.

5. Accounts and Member Areas
Certain parts of the Site may require account registration, login credentials, membership access, or approval by Potekyu.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify Potekyu promptly if you suspect unauthorized access, misuse, or a security incident involving your account.

Potekyu may refuse registration, approve or reject access, suspend access, or close accounts where appropriate, including where required for security, compliance, misuse prevention, or service administration.

6. Enquiries, Bookings, and Service Requests
The Site may allow you to submit enquiries, book sessions, request services, upload documents, or provide information about your matter.

You agree that:

• submitting an enquiry or booking request does not require Potekyu to accept your matter;

• Potekyu may review information and request further details before confirming whether we can assist;

• Potekyu may decline to act for any reason permitted by law and professional rules;

• paid bookings may be subject to separate booking terms or payment requirements; and

• any legal service will be governed by a separate engagement letter, service agreement, proposal, fee quote, booking confirmation, or written scope confirmation.

If there is any inconsistency between these Terms and a signed engagement letter or service agreement between you and Potekyu, the signed engagement letter or service agreement will prevail for the relevant legal service.

7. Information You Submit
You may submit information, messages, documents, files, business details, personal data, questions, instructions, feedback, or other content through the Site or related communication channels (“User Content”).

You are responsible for ensuring that your User Content is accurate, lawful, relevant, and that you have the right to provide it to Potekyu.

You should not submit:

• information that is false, misleading, unlawful, defamatory, infringing, abusive, or harmful;

• confidential information belonging to another person or organization unless you are authorized to disclose it;

• personal data of third parties unless you have a lawful basis to provide it;

• state secrets, highly sensitive information, or regulated information not appropriate for website submission; or

• malicious files, malware, scripts, or other harmful code.

Potekyu may use User Content as reasonably necessary to respond to your enquiry, assess whether we can assist, provide services within an agreed scope, operate and improve the Site, maintain records, comply with law, and protect our rights and interests.

8. Confidentiality of Submitted Information
Potekyu treats information submitted to us with care. However, until Potekyu has formally accepted an engagement, information submitted through the Site may not receive the same protection as information provided within an established lawyer-client relationship.

Please do not send highly confidential, urgent, sensitive, or time-critical information through the Site unless Potekyu has specifically requested it or you are using a secure channel designated by Potekyu.

Where Potekyu has accepted an engagement, confidentiality will be handled in accordance with applicable law, professional obligations, and the relevant engagement terms.

9. Fees, Payments, Cancellations, and Refunds
Fees for paid sessions, legal services, subscriptions, memberships, downloadable resources, or other paid offerings may be stated on the Site, in a booking page, proposal, quotation, invoice, engagement letter, or separate written confirmation.

Unless otherwise stated:

• fees are quoted in Vietnamese Dong or another stated currency;

• taxes, bank charges, payment gateway fees, or transfer fees may apply;

• bookings may be confirmed only after required information and payment are received;

• cancellation, rescheduling, and refund rules may differ by service type; and

• legal services will be governed by the relevant proposal, engagement letter, or service agreement.

Potekyu may change fees, service descriptions, packages, availability, and booking terms from time to time. Any confirmed engagement will be handled according to the applicable written terms agreed for that engagement.

10. Publications and Resources
Articles, guides, checklists, updates, downloadable materials, and other resources on the Site are provided for general informational purposes.

These materials:

• are general in nature;

• may not address every legal requirement, exception, risk, or jurisdictional issue;

• may become outdated due to changes in law, policy, market practice, or authority interpretation;

• may not apply to your specific facts; and

• should not be used as a substitute for professional advice.

Potekyu may update, revise, remove, restrict, or discontinue any material at any time.

11. Digital Tools
The Site may include or later integrate digital tools, automation, search, recommendation, intake, chatbot, or AI-assisted features (“Digital Tools”).

Potekyu may process prompts, files, instructions, search queries, and related inputs as reasonably necessary to operate, secure, improve, and support the relevant Digital Tools, subject to our Privacy Policy and applicable law.

12. Intellectual Property
All content and materials on the Site, including text, articles, publications, documents, graphics, designs, layouts, trademarks, logos, service names, downloads, tools, and other materials, are owned by Potekyu or its licensors, unless otherwise stated.

You may not, without Potekyu’s prior written consent:

• copy, reproduce, republish, sell, license, distribute, or commercially exploit Site content;

• remove copyright, trademark, or proprietary notices;

• scrape, extract, or build a database from Site content;

• train, fine-tune, or develop AI models or competing tools using Site content; or

Potekyu may remove content, block submissions, restrict access, report conduct, or take other appropriate action where we reasonably believe there is misuse, legal risk, or security risk.

14. Privacy and Personal Data

By using the Site or submitting information to Potekyu, you acknowledge that your personal data may be processed in accordance with our Privacy Policy and applicable data protection laws, including Vietnam’s personal data protection regulations where applicable.

Without limiting the above, Potekyu does not warrant that:

• Site content will be accurate, complete, current, or applicable to your matter;

• the Site will meet your requirements or expectations;

• Digital Tools will produce accurate, complete, or reliable outputs;

• any authority, counterparty, court, regulator, partner, bank, investor, employee, customer, or third party will act in a particular way; or

• any defect, error, or interruption will be corrected.

Nothing in these Terms excludes or limits any responsibility that cannot be excluded or limited under applicable law.

18. Limitation of Liability
To the maximum extent permitted by applicable law, Potekyu and its partners, lawyers, employees, consultants, contractors, agents, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for any loss of profits, revenue, business opportunity, goodwill, data, anticipated savings, business interruption, or other intangible losses, arising out of or relating to your access to, use of, or inability to use the Site.

To the maximum extent permitted by applicable law, Potekyu will not be liable for any loss, damage, claim, cost, or expense arising out of or relating to:

• your reliance on general information, materials, resources, tools, search results, or other content made available on the Site;

• your failure to obtain professional advice for your specific facts and circumstances;

• any error, omission, delay, interruption, inaccuracy, or unavailability of the Site;

• any output, suggestion, recommendation, or response generated by digital tools, automation, search, or AI-assisted features;

• any third-party website, platform, payment provider, scheduling tool, communication tool, or external service linked to or integrated with the Site;

• any unauthorized access, security incident, data loss, or technical issue beyond Potekyu’s reasonable control; or

• any decision, action, or omission made by you or any third party based on information available through the Site.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
This limitation does not apply to liability governed by a separate signed engagement letter, legal service agreement, proposal, or written service confirmation between you and Potekyu.

19. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Potekyu and its partners, lawyers, employees, consultants, contractors, agents, affiliates, and service providers from and against claims, liabilities, losses, damages, costs, and expenses arising out of or relating to:

• your misuse of the Site;

• your breach of these Terms;

• your User Content;

• your violation of applicable law;

• your infringement of third-party rights; or

• your unauthorized disclosure of confidential information or personal data.

20. Changes to These Terms
Potekyu may update these Terms from time to time by posting an updated version on the Site or by otherwise notifying users where appropriate.

Unless otherwise stated, updated Terms take effect when posted. Your continued use of the Site after the updated Terms become effective constitutes your acceptance of the updated Terms.

21. Governing Law and Dispute Resolution
These Terms are governed by the laws of Vietnam, without regard to conflict of law principles.
The parties will first attempt to resolve any dispute arising out of or relating to these Terms or the Site through good-faith discussion.

If a dispute cannot be resolved through discussion, it will be submitted to the competent courts of Vietnam, unless a separate engagement letter, service agreement, or written agreement between you and Potekyu provides for another dispute resolution mechanism, such as arbitration.
 
22. General Provisions
These Terms, together with any policies or documents incorporated by reference, constitute the agreement between you and Potekyu regarding your use of the Site.
 
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
 
Potekyu’s failure to enforce any provision of these Terms does not constitute a waiver of that provision.
You may not assign or transfer your rights or obligations under these Terms without Potekyu’s prior written consent. Potekyu may assign or transfer these Terms in connection with restructuring, merger, acquisition, sale of assets, change of business form, or by operation of law.
 
Sections that by their nature should survive termination will survive, including sections relating to no legal advice, no guarantee of outcome, confidentiality, intellectual property, privacy, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.
